Terms of Service

These terms are the agreement between you and Orla, operated by Digital Flow PTE LTD, for using the app and this site. We have kept them as plain as terms can be. Using Orla means you accept them.

The short version

Orla is a tool for recording and organising your money. It is not a bank, not a broker, and not your accountant. Your bank and exchange connections are read-only, and your self-custody wallets are yours alone: Orla keeps the book, you keep the funds.

One feature is different, and we would rather say so here than bury it: if you use Orla's virtual cards, you prepay a balance that we hold in order to fund them. That section is below.

Who can use Orla

You must be old enough to form a binding contract where you live, and you must use Orla lawfully. You are responsible for what happens under your account, so keep your sign-in methods and recovery codes safe.

Your account

You are responsible for the accuracy of what you put in and for keeping your access secure. Set up two-factor sign-in and passkeys where you can. If you lose every sign-in method, we may not be able to restore access.

Crypto is non-custodial

This one matters. When you create or import a wallet in Orla, the keys are generated and encrypted in your browser and never sent to us. We cannot access those funds, sign for you, or recover a lost key or password. Every transaction is signed by you, on your device.

Connections to exchanges and banks are read-only. Orla reads balances and history; it cannot move money out of them.

This section is about your wallets and connections. It does not describe the card balance, which works differently and is set out next.

Virtual cards and the balance behind them

Cards are the one place where we hold money for you, so here is exactly how it works. To fund cards in a space you send stablecoins to a wallet we operate. That top-up credits a prepaid balance for that space, and the spending limits of the cards in it can never exceed that balance. Spending on a card draws the balance down.

The cards themselves are issued by our card issuing partner, not by Orla, and their card terms apply to the card. Issuing a card requires the holder to pass the issuer's identity checks; a card can be declined or frozen by the issuer or by us where a check, the law or a sanctions rule requires it.

The prepaid balance is money you have paid us in advance for card spending. It is not a deposit, it earns no interest, and it is not protected by a deposit guarantee scheme. You can ask us to return an unspent balance at [email protected]; we may first need any live card closed, and we return it in the same asset it arrived in, net of the network fee.

Not financial, tax or legal advice

Orla shows you your own numbers and produces reports, including a FIFO capital-gains report. These are informational. They are not financial, investment, tax or legal advice, and the capital-gains figures are a calculation for your accountant to review, not a filing. Decisions about your money are yours.

Subscriptions and billing

Free is a plan you can use for as long as you like. Paid plans raise limits and add features, and a subscription belongs to you and applies across the spaces you own.

You can pay by card or in stablecoins. Billing periods run one, three, six or twelve months, paid up front, and prepaid time stacks. Card plans renew automatically until you remove the card; cancelling keeps access to the end of the paid period and then returns you to Free. Crypto payments are matched on-chain, so send the exact amount shown.

Prepaid time is not refunded when you cancel or when you close your account: you keep the access you paid for until it runs out. If we close or suspend your account for something you did not do, we refund the unused part. Nothing here removes a refund or withdrawal right your local consumer law gives you and does not let you waive.

A crypto payment is matched by its exact amount, so an amount that does not match is not automatically credited. If you send the wrong amount, or send after a request expired, write to [email protected] with the transaction hash and we will sort it out by hand.

Acceptable use

Don't use Orla to break the law or to harm the service or other people. In particular, don't:

  • use it for money laundering, fraud, or evading sanctions;
  • attack, probe, or disrupt the service, or try to access data that isn't yours;
  • upload malware, or content you have no right to share.

Third-party connections

When you connect a bank, exchange, wallet or other service, your use of that service is governed by its own terms. Orla is not responsible for a third party's availability, accuracy or actions.

Availability and changes

We work to keep Orla available and accurate, but we provide it “as is”, without warranties. Some features depend on third-party integrations and may be unavailable at times. We may change or discontinue features, and we will give reasonable notice of material changes.

Limitation of liability

To the extent the law allows, Orla is not liable for indirect or consequential losses, or for losses arising from your own transactions, lost keys, or third-party services. Nothing here limits liability that cannot lawfully be limited.

Ending it

You can stop using Orla and delete your account at any time. We may suspend or close an account that breaks these terms or the law. Two things must be settled first: a shared space you solely own has to be handed over or deleted so its other members keep their data, and any live card has to be closed and its balance dealt with. The app tells you which one is blocking.

Governing law

These terms are governed by the laws of Singapore, and disputes are subject to the courts of Singapore, except where local law gives you rights that cannot be waived.
